Code of Conduct
CIC Australia Limited ("CIC") strives to ensure and maintain a high standard of integrity of its directors, executives and employees to ensure all business affairs are conducted fairly, honestly and legally in compliance with CIC's core values.
Good corporate governance requires integrity in systems and people. Investor confidence can be enhanced through the establishment of a Code of Conduct which provides a guide for directors, executives and employees of the company on practices necessary to maintain the company's integrity. It will also provide a guide to the responsibility and accountability of individuals for reporting and investigating reports of unethical practices. It is critical that both the Board, senior management and all employees demonstrate, through words and actions, absolute commitment to this Code. To uphold the integrity of CIC, all directors, executives and employees must:
- not make improper use of information acquired as a director, executive or employee;
- use the powers of office for a proper purpose, in the best interests of the company as a whole;
- obey their duty to use due care and diligence in fulfilling the functions of office and exercising the powers attached to that office;
- must not make improper use of information acquired as a director, executive or employee;
- not allow personal interests, or the interests of any associated person, to conflict with the interests of the company;
- be independent in judgement and actions and take all reasonable steps to be satisfied as to the soundness of all decisions made;
- maintain confidentiality of information;
- act honestly, with integrity and in the best interests of the company as a whole;
- refrain from dealing with parties whose ethical standards are incompatible with CIC's;
- comply with Government laws and regulations;
- refrain from taking advantage of property, information or position, or an opportunity arising from these, for personal gain or to compete with CIC; and
- report any unlawful or unethical behaviour and actively promote ethical behaviour whilst protecting those who report violations in good faith. They must initiate steps to investigate and remedy the situation.
